What you get

A standard package for one non-resident owner with a straightforward ownership structure.

1

Structure and state analysis

LLC or corporation, and up to three suitable states compared on ownership, activity, customers, annual costs, state taxes, sales tax where relevant and investment plans.

2

Written recommendation

Our recommendation and the reasoning behind it, in writing, before you decide anything.

3

Tax and filing overview

Which federal and state taxes and filings may apply to your structure, and what each of them depends on.

4

Formation coordination

We review your formation details and coordinate the filing through a specialized formation provider after you approve the structure and the costs.

5

First-year compliance calendar

The state and federal deadlines that may apply to you, in one document.

6

Bookkeeping and banking guidance

What to record from the first transaction, how to keep company and personal funds apart, and which account options are realistic for your situation.

7

Post-formation consultation

Up to 30 minutes on your calendar, your next steps and your questions.

LLC or corporation? Which state?

We do not recommend Wyoming or Delaware to everyone. The right structure and state depend on the factors shown here, and on whether the business has a real presence in a state. Where it helps, we compare up to three states and explain the recommendation in writing.

Taxes and filings: before you form, not after

Formation is only the beginning. A US company can have filing obligations even when little or no tax is due. For example, a single-member LLC owned by a non-US person may need to file Form 5472 with a pro forma Form 1120. We help you understand the likely obligations before you form, instead of discovering them afterwards.

Frequently asked questions

Can a non-resident own a US company?
+

Yes. US citizenship or residency is not required to own an LLC or a corporation. We ask about your country of residence at the start because it affects things like bank-account options.

LLC or corporation, and why not simply Wyoming or Delaware?
+

No structure or state is right for everyone by default. Formation costs, annual fees, state taxes and sales-tax questions depend on how your business works, and the choice between an LLC and a corporation depends on how the company will be taxed given its owners, activity and investment plans. Where it helps, we compare up to three suitable states and explain the recommendation in writing.

What is included in the $490, and what will I pay extra?
+

From $490 covers our work for a standard case: the structure and state analysis, the written recommendation, the tax and filing overview, formation coordination, the first-year compliance calendar, bookkeeping and banking guidance, and one consultation of up to 30 minutes. The state filing fee, the formation provider's fee and the registered-agent fee, where applicable, are paid separately. Tax return preparation, monthly bookkeeping, sales tax registration, legal advice, bank applications and licenses are separate services, and more complex ownership structures are quoted before work starts.

Which taxes and filings may apply?
+

It depends on the structure, the state, the owners and the activity, so there is no single answer. The tax and filing overview lists what may apply to you and under what conditions. For example, a single-member LLC owned by a non-US person may need to file Form 5472 with a pro forma Form 1120 even when no tax is due.

How do I get an EIN?
+

You obtain your EIN yourself. The IRS issues it free of charge. We explain when you will need it and provide a step-by-step video tutorial so you can apply directly to the IRS yourself.

Do you open a bank account or Stripe for me?
+

No. We explain which account options are realistic for your country of residence and situation, and which documents banks usually ask for. The bank or payment provider makes the final decision, and nobody can guarantee it.

How long does it take?
+

We confirm the expected timing before work begins. The preparation depends on how quickly you confirm your information, and the state controls how long registration takes. We do not promise government processing times.

Tell us about your business. We'll confirm the scope and the cost.
